1. Scope of Application

These General Terms and Conditions apply to all offers, contracts, and services provided by Patric Frank (hereinafter referred to as "Contractor") to business clients ("Client") in the areas of strategic consulting, marketing consulting, and AI consulting.

Deviating terms and conditions of the Client shall only apply if expressly agreed in writing.

2. Scope of Services

The Contractor provides consulting and conceptual services in the areas of marketing strategy, customer segmentation, digital transformation, and AI applications.

The type and scope of services are determined by the respective offer or individual order. Services not expressly agreed upon must be commissioned and remunerated separately.

The Contractor may engage third parties to perform the services.

3. Client Obligations

The Client shall provide all necessary information, data, and access in a timely manner and shall designate a responsible contact person.

Feedback on interim results must be provided within 5 business days. Without feedback, the interim status shall be deemed approved. Delays shall result in a corresponding postponement of the project timeline.

4. Remuneration and Payment

Remuneration is based on the daily rates specified in the offer or as a fixed fee. Invoicing occurs monthly or upon project completion.

Payments are due within 14 days of invoicing. For projects exceeding EUR 20.000 an advance payment of up to 50% is agreed upon.

In case of payment default, the Contractor may suspend services until outstanding amounts are settled.

5. Usage Rights

The Client receives a simple, non-exclusive, temporally and spatially unlimited right of use for the work results for the agreed purpose.

Exclusive rights or rights for resale require a separate agreement.

6. Reference Rights

The Contractor may name the Client as a reference and display work results for demonstration purposes, provided no confidential content is disclosed.

7. Warranty

Defects must be reported within 14 business days of delivery. Legitimate defects will be remedied.

8. Liability

The Contractor shall only be liable in cases of intent or gross negligence. In cases of slight negligence, liability is limited to foreseeable, contract-typical damages.

Liability for lost profits or indirect damages is excluded.

9. Cancellation

In case of cancellation, services already rendered will be invoiced. For cancellations less than 7 days before the start of services, a cancellation fee of up to 25% may be charged.

10. Confidentiality

Both parties shall treat confidential information as strictly confidential – including after termination of the contract.

11. Final Provisions

Amendments to these Terms and Conditions require written form.

German law shall apply. The place of jurisdiction is Berlin.
